Cisco API License Terms and Conditions, Version 1.2
These terms govern your use of this Cisco Application Programming Interface and associated documentation ("Cisco API"). By accessing, downloading, copying, distributing, calling, or otherwise making any use of the Cisco API, you accept and agree to be bound by the following terms and conditions (the "Terms") . If you are accepting the Terms on behalf of an entity, you represent that you have the authority to do so (either you or the entity, "you"). All use of the Cisco API must be in accordance with these Terms and all rights not expressly granted herein are reserved.
1. REQUIREMENTS FOR YOU AND YOUR API CLIENTS: The following requirements must be met for use of the Cisco API(s) that results in your creation of an application, add-on, configuration file, technical add-on, connector, plug-in, module, command, function and any other technology or content that extends the features or functionality of the underlying Cisco product or service or supports interoperability between the underlying Cisco product or service ("API Client(s)"):
(i) All API Clients must integrate with one or more Cisco API(s) and solely be used for deployments with Cisco products or services;
(ii) You may not use unauthorized methods of integration, including but not limited to, screen scraping or initiating unauthorized, unencrypted API calls, that are not recognized as industry standard practices and may compromise the security or integrity of any Cisco products or services;
(iii) You will build your API Client(s) so that they will function in a resilient and robust manner and that malfunctions of said client(s) are clear and identifiable to you. Upon your identification of an issue or malfunction with your API Client(s), you will rebuild said client(s) to a level of service that is in line with Cisco's own commitments to reliability.
(iv) Complete evaluation and testing of your API Client(s) as to technology, functionality, performance, security, and user interface and its adherence to any Cisco API development best practices.
(v) Your credentials (e.g. passwords, keys, and client IDs) may only be used by you and to identify your API Client(s). You must keep your credentials confidential and from use by any third party. You will make reasonable efforts to prevent other API Client(s) from using your credentials. Your credentials may not be embedded in open source projects and must be encrypted in transit.
Cisco reserves the right to conduct any type of review of your API Client(s). Cisco's acceptance and publication of your API Client(s) through its web pages or listings does not relieve you of any of your obligations in these Terms, including but not limited to, required adherence to industry standard requirements for API development best practices. Cisco may adopt and change Cisco's review standards and processes in Cisco's sole discretion and reserves the right to make all decisions regarding placement or promotion of API Client(s) through Cisco web pages or listings.
2. CISCO'S LICENSE GRANT TO YOU: Subject to these Terms, Cisco hereby grants to you a perpetual, worldwide, non-exclusive, non-transferable, non-sublicensable, royalty-free license to use and make calls to the Cisco API for the sole purpose of developing, implementing, and distributing software applications that work, communicate, or interact with Cisco products or services.
3. YOUR LICENSE GRANT TO CISCO: For the purpose of enabling Cisco to make available your API Client(s) through Cisco webpages or listings, you grant Cisco a perpetual, irrevocable, worldwide, sublicensable, fully paid-up, royalty-free, and non-exclusive license to use, reproduce, host, store, modify, communicate, disclose, and publish the API Client(s). You will ensure that you have the necessary rights to grant Cisco the license before you make your API Client(s) available through Cisco webpages or listings.
4. OPEN SOURCE LICENSES: Some of the software required by or included in or through your API Client(s) may be offered under an open source license, which is a separate agreement. To the limited extent the open source license expressly supersedes these Terms, the open source licenses instead sets for your agreement with Cisco for the applicable open source software.
5. CONDITIONS: You shall not use the Cisco API to: (a) substantially replicate and compete with the underlying Cisco product or service; (b) collect, store, or transmit confidential, sensitive, or protected data or information without authorization; (c) disable, disrupt, circumvent, interfere with, or otherwise violate the security of any Cisco product, service, or user, or any mechanism that limits your use of the Cisco API(s); (d) access any application, system, service, computer, data, account, or network without authorization; (e) reverse engineer or extract source code, except to the extent restriction is expressly prohibited by applicable law; (f) process or store any data that would give rise to a violation of applicable export control law and regulation; (g) engage in activity that is fraudulent, false or misleading or that violates the rights of any third party; (h) merge, integrate or use with any software that is subject to license terms that require any Cisco confidential information to be licensed or otherwise shared with any third party (for example only, GPL license terms); or (i) enable any application or situation where failure of the Cisco API(s) or your API Client(s) could lead to death or serious bodily injury of any person, or to severe physical or environmental damage. The underlying Cisco product or service is licensed under its own separate terms and you shall not use the Cisco API in any way that violates or is inconsistent with those terms (for more information, please visit: www.cisco.com/go/terms ). Failure to comply with any part of this section constitutes a material breach of these Terms and may result in further repercussions and actions against you, at Cisco's sole discretion.
6. OWNERSHIP: The Cisco API, in whole or in part, in all forms, is the sole and exclusive property of Cisco. These Terms do not grant you permission to use any trade names, trademarks, service marks, or product names of Cisco. If you provide any feedback to Cisco regarding the Cisco API, you agree that Cisco, its suppliers, and its customers shall be free to use and incorporate such feedback into the Cisco API and Cisco products and services without restriction, payment, or additional consideration of any kind. If you initiate or participate in any litigation against Cisco, its partners, or its customers (including cross-claims and counter-claims) alleging that the Cisco API or its use infringe any patent, copyright, or other intellectual property right, then all rights granted to you under these Terms shall terminate immediately.
7. LIMITATION OF LIABILITY: CISCO SHALL HAVE NO LIABILITY IN CONNECTION WITH OR RELATING TO THESE TERMS OR USE OF THE CISCO API, FOR DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DIRECT, INCIDENTAL, AND CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF USE, DATA, INFORMATION, PROFITS, BUSINESS, OR GOODWILL, HOWEVER CAUSED, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. DISCLAIMER OF WARRANTY: CISCO PROVIDES THE CISCO API "AS IS" WITH ALL FAULTS, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL EXPRESS AND IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SATISFACTORY QUALITY, NON-INTERFERENCE, AND ACCURACY, ARE HEREBY EXCLUDED AND EXPRESSLY DISCLAIMED BY CISCO. CISCO DOES NOT WARRANT THAT THE CISCO API IS SUITABLE FOR YOUR USE, WILL OPERATE PROPERLY WITH YOUR APPLICATION, IS ACCURATE OR COMPLETE, OR IS WITHOUT ERROR OR DEFECT.
9. DISCLAIMER REGARDING API CLIENT CONTENT: CISCO DOES NOT CONTROL, ENDORSE, OR ACCEPT RESPONSIBILITY FOR ANY CONTENT OR INFORMATION ACCESSIBLE FROM OR LINKED THROUGH YOUR API CLIENT(S) AND MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT SAID CONTENT OR INFORMATION. YOU AGREE TO NOT REPRESENT IN YOUR MARKETING OR PROMOTIONAL MATERIALS THAT YOU ARE: (I) A CISCO PARTNER (UNLESS OTHERWISE SET FORTH IN A SEPARATE AGREEMENT WITH CISCO); (II) CERTIFIED BY CISCO; OR (III) OVERSTATE IN YOUR PROMOTIONAL OR MARKETING MATERIALS YOUR AFFILIATION OR RELATIONSHIP WITH CISCO.
10. GENERAL: These Terms shall be governed by and interpreted in accordance with the laws of the State of California, excluding its conflict of laws provisions. You agree to comply with all applicable United States export laws, rules, and regulations. If any provision of these Terms is judged illegal, invalid, or otherwise unenforceable, that provision shall be severed and the rest of the Terms shall remain in full force and effect. No failure by Cisco to enforce any of its rights related to the Cisco API or to a breach of these Terms in a particular situation will act as a waiver of such rights. In the event of any inconsistencies with any other terms that may apply to the Cisco API, these Terms shall take precedence.
